Terms & Conditions

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“you”, “User”) and TechNexusGen (“Company”, “we”, “us”), governing the access to and use of the website technexusgen.com and any software, hardware, AI, IoT, plugin development or resource-hiring services provided by us (collectively, the “Services”).

These Terms are an electronic contract under the Information Technology Act, 2000 and the Indian Contract Act, 1872 and do not require any physical, electronic or digital signature. By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy and applicable Indian laws.

1. Eligibility

You represent that you are at least 18 years of age and competent to contract under Section 11 of the Indian Contract Act, 1872. If you accept these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Services

TechNexusGen offers, among others:

• Custom software development across web, mobile, cloud and embedded platforms;
• AI / ML product development, AI agents and automation;
• Hardware and chip-level design including NFC, RFID, Bluetooth and IoT;
• AutoCAD / Autodesk plugin development; and
• Resource-hiring services (placement, contract staffing and managed teams).

Specific commercials, scope, deliverables, milestones and timelines for each engagement are governed by a separate Statement of Work (SOW) or Master Services Agreement (MSA).

3. User obligations

• Provide accurate, current and complete information;
• Use the Services only for lawful purposes and in compliance with Rule 3 of the IT (Intermediary Guidelines) Rules, 2021;
• Not upload, transmit or store any content that is unlawful, defamatory, obscene, pornographic, paedophilic, invasive of another's privacy, infringes intellectual property, or otherwise prohibited under the laws of India;
• Not introduce viruses, worms, malware or attempt to compromise our systems; and
• Not engage in any conduct that may damage our reputation or violate any third-party rights.

Violation of these obligations may result in immediate suspension or termination of access to the Services and reporting to the appropriate authorities under Section 79 of the IT Act, 2000.

4. Fees, invoicing & payment

• Fees are set out in the SOW/MSA executed between the parties and are exclusive of all applicable taxes (including GST under the Central Goods and Services Tax Act, 2017).
• Invoices are payable within fifteen (15) days from the invoice date, unless otherwise agreed.
• Overdue amounts attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
• All payments are non-refundable except as expressly provided in the SOW or required by the Consumer Protection Act, 2019.

5. Intellectual property

All content on the website (including text, graphics, logos, images, code, designs and trademarks) is owned by or licensed to TechNexusGen and protected under the Indian Copyright Act, 1957, the Trade Marks Act, 1999 and the Patents Act, 1970. Custom deliverables produced under an SOW shall vest in the client upon full payment of fees, subject to our retained right to (i) use background IP and (ii) re-use generic know-how.

6. Confidentiality

Each party shall keep the other party's confidential information in strict confidence and shall not disclose it to any third party except as required by law, regulatory authority or court order. Confidentiality obligations survive termination of the engagement for a period of three (3) years.

7. Warranties & disclaimers

We provide the Services on a “as-is” and “as-available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including those of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the Services will be uninterrupted, error-free or completely secure.

8. Limitation of liability

Subject to applicable Indian law, in no event shall the aggregate liability of TechNexusGen, whether in contract, tort (including negligence) or otherwise, exceed the total fees paid by you under the relevant SOW during the three (3) months immediately preceding the event giving rise to the claim. We shall not be liable for indirect, incidental, special, punitive or consequential damages, including loss of profit, revenue, data or goodwill.

9. Indemnification

You agree to indemnify, defend and hold harmless TechNexusGen, its directors, employees and affiliates from and against any claims, losses, damages, liabilities and expenses (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your violation of any applicable law, or (c) your infringement of third-party rights.

10. Termination

Either party may terminate an engagement by written notice on material breach by the other party that is not cured within thirty (30) days, or for convenience as may be specified in the SOW. Provisions regarding payment, confidentiality, IP, liability and dispute resolution survive termination.

11. Force majeure

Neither party shall be liable for delay or failure caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, internet outages, epidemics or pandemics.

12. Grievance redressal

In compliance with the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020, complaints may be addressed to our Grievance Officer at hr@technexusgen.com. We acknowledge complaints within 24 hours and resolve them within 15 days.

13. Governing law & dispute resolution

These Terms are governed by the laws of India. Any dispute or claim arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration in Bangalore, Karnataka, under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed by the parties. The language of arbitration shall be English. The courts at Bangalore, Karnataka shall have exclusive jurisdiction over any matter not subject to arbitration.

14. Modifications

We may modify these Terms from time to time. Updated Terms take effect upon posting. Continued use of the Services after such posting constitutes acceptance of the modified Terms.
